Entity: Dossier Technologies Inc., a corporation incorporated in British Columbia, Canada ("Dossier," "we," "us," "our")

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES. BY ACCESSING OR USING DOSSIER, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Dossier Technologies Inc. ("Dossier") governing your access to and use of the Dossier platform, website (askdossier.ai), and related services (collectively, the "Services").

These Terms apply to:
Organizations that enter into a subscription agreement with Dossier ("Customers")
Individual users authorized by a Customer to access the Services ("Users")

By creating an account, subscribing to the Services, or using the Services in any way, you represent that:
You have read, understood, and agree to be bound by these Terms
If you are accepting on behalf of an organization, you have authority to bind that organization
You are at least 18 years of age

2. Description of Services
Dossier is a software-as-a-service platform that enables organizations to ingest, index, and query organizational knowledge from email communications and documents. Core features include:
BCC-based email ingestion - organizations direct email communications to a Dossier-assigned address to enable automatic ingestion
Document upload - upload of PDFs, Word documents, and other supported file types
Natural language query - ask questions about ingested content and receive AI-synthesized answers with citations
Decision and commitment extraction - automated identification of decisions, commitments, and key dates within organizational content

Dossier relies on contracted AI service providers including OpenAI (for language generation and embeddings) and Cohere (for reranking) to deliver these features, acting as sub-processors under strict data processing agreements. The Services are provided "as is" and are subject to the capabilities and limitations of underlying AI technology.

3. Accounts and Access
3.1 Account Creation
To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
Use a strong, unique password
Not share your credentials with unauthorized persons
Notify us immediately at support@askdossier.ai if you suspect unauthorized access to your account

Dossier is not liable for any loss or damage resulting from your failure to maintain account security.

3.3 Authorized Users
Customers are responsible for managing access to the Services by their authorized Users. Customers are liable for the actions of their Users. Customers must promptly revoke access for any User who is no longer authorized.

3.4 Account Restrictions
You may not create accounts for the purpose of abusing or circumventing the Services. We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

4. Subscriptions, Fees, and Payment
4.1 Subscription Plans
Access to the Services requires a paid subscription. Current pricing is available at askdossier.ai/pricing. We reserve the right to modify pricing with reasonable notice.

4.2 Billing
Subscriptions are billed on a recurring basis (monthly or annual, as selected). By subscribing, you authorize us to charge your payment method for all fees due. Payment is processed by Stripe, Inc. You agree to Stripe's terms of service in connection with payment processing.

4.3 Free Trials
We may offer free trials at our discretion. At the end of a free trial, your account will be charged for a paid subscription unless you cancel before the trial period ends.

4.4 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your subscription, excluding taxes on our net income.

4.5 Non-Payment
If payment is not received when due, we may suspend or terminate your access to the Services after reasonable notice. Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.

4.6 Refunds
Fees are non-refundable except as required by applicable law or as expressly stated in a written agreement between you and Dossier. If we terminate your account without cause, we will refund pre-paid fees on a pro-rated basis for the unused portion of your subscription period.

5. Customer Content
5.1 Ownership
You retain all rights in the content you submit to the Services ("Customer Content"). These Terms do not grant Dossier any ownership rights in Customer Content.

5.2 License to Dossier
By submitting Customer Content, you grant Dossier a limited, non-exclusive, worldwide, royalty-free license to process, store, index, reproduce, and display Customer Content solely as necessary to provide the Services to you, including the right to generate Derived Data (as defined in Section 5.6) from Customer Content. This license terminates when you delete the content or terminate your account.

5.3 Your Representations
By submitting Customer Content, you represent and warrant that:
You have all necessary rights, licenses, and permissions to submit the content to Dossier
The content does not infringe any third-party intellectual property rights
You have appropriate legal authority to process any personal information of third parties contained in the content, including residents, tenants, contractors, or other individuals mentioned in organizational communications
The content does not violate any applicable law or regulation

5.4 Prohibited Content
You agree not to submit content that:
Violates any law or regulation
Infringes any intellectual property right
Contains malware, viruses, or other harmful code
Is fraudulent, deceptive, or misleading
Contains personal information of individuals who have not consented to such processing where consent is required by applicable law, or whose processing otherwise violates applicable privacy law
You do not have the legal right to disclose or process

5.5 Content Moderation
Dossier does not routinely review Customer Content. However, we reserve the right to remove content that violates these Terms, applicable law, or that poses a risk to the security or integrity of the Services.

5.6 Derived Data
In order to provide the Services, Dossier generates derived data from Customer Content, including vector embeddings, search indexes, metadata, and other machine-readable representations that enable search, retrieval, and analysis ("Derived Data").

Derived Data does not contain the original documents or communications themselves and is used solely to operate and improve the functionality of the Services for the relevant Customer. Derived Data generated from a Customer's Content is never shared with, or used to benefit, any other Customer.

Derived Data is deleted within the same retention window as Customer Content upon account termination. You acknowledge that the generation of Derived Data from Customer Content is an essential technical function of the Services and is covered by the license in Section 5.2.

6. AI-Generated Outputs - Reliability and Limitations
The Services use artificial intelligence to generate responses, summaries, and analyses based on Customer Content. You acknowledge and understand the following:

6.1 Nature of AI Outputs
AI-generated responses are generated based on patterns in submitted Customer Content using automated systems and machine learning models. These outputs:
May contain inaccuracies, omissions, or outdated information
Are provided for informational and assistive purposes only
Do not constitute legal advice, financial advice, accounting advice, regulatory guidance, or professional advice of any kind
Do not constitute authoritative determinations of fact
Are not legally binding on any party

Users are responsible for reviewing source materials and exercising independent judgment before relying on any AI-generated output. All decisions made in reliance on AI-generated outputs remain the sole responsibility of the Customer and its Users.

6.2 No Warranty on AI Outputs
Dossier does not warrant that AI-generated outputs are accurate, complete, current, or fit for any particular purpose. The AI systems underlying the Services have inherent limitations and may produce outputs that appear plausible but are factually incorrect.

6.3 Liability for Reliance
To the maximum extent permitted by applicable law, Dossier will not be liable for any decisions made, actions taken, losses incurred, or consequences arising from reliance on AI-generated outputs. Customers assume full responsibility for verifying AI-generated outputs against original source documents before using them as the basis for organizational decisions.

7. Intellectual Property
7.1 Dossier IP
The Services, including all software, technology, trademarks, logos, and content provided by Dossier (other than Customer Content), are owned by or licensed to Dossier and are protected by intellectual property laws. Nothing in these Terms grants you any rights in Dossier's intellectual property except the limited right to use the Services as described in these Terms.

7.2 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant Dossier an unrestricted, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

7.3 Restrictions
You agree not to:
Copy, modify, distribute, sell, or lease any part of the Services
Reverse engineer, decompile, or disassemble any software underlying the Services
Access or use the Services for the purpose of copying its features, functionality, or user interface to build a competing product or service
Use automated means (bots, scrapers, crawlers) to access or extract data from the Services without our express written permission
Remove or alter any copyright, trademark, or proprietary notices

8. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Services in any way that violates applicable law or regulation
Attempt to gain unauthorized access to any part of the Services or any connected systems
Introduce malware, viruses, or other harmful code into the Services
Interfere with or disrupt the integrity or performance of the Services
Use the Services to harass, abuse, or harm others
Circumvent any security or access control measures
Use the Services in excess of any applicable usage limits or in a manner that places unreasonable load on our infrastructure
Resell or sublicense access to the Services without our written consent
Dossier may suspend access to the Services on a temporary basis where reasonably necessary to prevent harm to the Services, investigate suspected abuse, respond to security incidents, or comply with applicable law. We will endeavour to provide advance notice of suspension where reasonably practicable.
We may monitor usage for compliance with applicable plan limits and may suspend or limit access where usage materially exceeds those limits or threatens the stability of the Services.

9. Privacy and Data Processing
Our Privacy Policy, available at askdossier.ai/privacy, is incorporated into these Terms by reference and describes how we collect, use, and protect personal information. By using the Services, you agree to the practices described in the Privacy Policy.

Customer acknowledges that it is the data controller for Customer Content and is responsible for ensuring that it has appropriate legal authority to submit such content to Dossier for processing. Customer is responsible for making any disclosures and obtaining any consents required by applicable privacy or data protection law in connection with its use of the Services, including where Customer Content is processed using third-party AI service providers engaged by Dossier as sub-processors.

Customers subject to GDPR, UK GDPR, or other data protection regulations that require a formal Data Processing Agreement (DPA) may request a DPA by contacting support@askdossier.ai.

10. Confidentiality
Each party agrees to keep confidential the other party's non-public, proprietary information that is disclosed in connection with the Services ("Confidential Information"). Each party agrees to:
Use Confidential Information only to exercise its rights and obligations under these Terms
Protect Confidential Information with at least the same degree of care used for its own confidential information, but no less than reasonable care
Not disclose Confidential Information to third parties without the other party's prior written consent, except as required by law

Customer Content is considered Customer’s Confidential Information. Dossier’s pricing, technology, and product roadmap are Dossier’s Confidential Information. Obligations of confidentiality survive termination of these Terms for three years, except with respect to trade secrets and Customer Content, for which such obligations survive for so long as the information remains confidential under applicable law.

11. Term and Termination
11.1 Term
These Terms remain in effect while you have an active account and continue to apply to all use of the Services.

11.2 Termination by You
You may cancel your subscription at any time through your account settings or by contacting support@askdossier.ai. Cancellation takes effect at the end of the current billing period. Fees paid for the current period are non-refundable.

11.3 Termination by Dossier
We may suspend or terminate your access to the Services immediately if:
You materially breach these Terms and fail to cure the breach within 15 days of written notice
You breach Sections 5.3, 5.4, or 8 (content violations or prohibited use)
You fail to pay fees when due after notice
We are required to do so by law
Continued provision of the Services poses a material legal, security, or compliance risk to Dossier or others, or would likely cause material harm to the security, integrity, or lawful operation of the Services

11.4 Effect of Termination
Upon termination:
Your right to access and use the Services immediately ceases
Subject to technical feasibility and payment of all outstanding fees, we will provide a reasonable opportunity to export Customer Content for up to 30 days following termination, after which Content Data and Derived Data will be deleted in accordance with our Privacy Policy
Outstanding fees become immediately due
Provisions that by their nature should survive termination (including Sections 6, 7, 10, 12, 13, 14) will survive

12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOSSIER EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED OUTPUTS
WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, our warranties are limited to the minimum extent permitted by law.

13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DOSSIER, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS
DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
DAMAGES ARISING FROM ANY THIRD-PARTY CONTENT OR SERVICES

DOSSIER'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO DOSSIER IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Dossier has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification
You agree to defend, indemnify, and hold harmless Dossier and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
Your use of the Services in violation of these Terms
Customer Content you submit to the Services, including any claim that such content infringes third-party intellectual property rights or violates applicable privacy law
Your breach of any applicable law or regulation
Any claim by a third party whose personal information was submitted to Dossier through your Customer Content without appropriate legal authority
Any decision made or action taken by you or your Users in reliance on AI-generated outputs from the Services

15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Jurisdiction
Subject to Section 15.3, any dispute arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of British Columbia, Canada, and you irrevocably consent to the personal jurisdiction of those courts.

15.3 Informal Resolution
Before initiating any formal legal proceeding, the parties agree to attempt to resolve disputes informally by contacting Dossier at support@askdossier.ai. Both parties will make good faith efforts to resolve the dispute within 30 days. If the dispute is not resolved within 30 days, either party may pursue formal legal remedies.

15.4 Class Action Waiver
To the extent permitted by law, you agree that any dispute with Dossier will be brought solely in your individual capacity, and not as part of any class, consolidated, or representative action.

15.5 International Customers
If you are located outside Canada, you acknowledge that you are contracting with a Canadian entity and that Canadian law governs these Terms. Nothing in these Terms limits rights you may have under the mandatory consumer protection or privacy laws of your home jurisdiction.

16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice at least 30 days before the changes take effect. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services and cancel your subscription before the effective date.

17. Beta and Preview Features
Dossier may make beta, trial, or preview features available from time to time. Such features are provided “as is,” may be modified or discontinued at any time without notice, and may be subject to additional terms. We make no representations regarding the reliability, completeness, or suitability of beta features for production use. Your use of beta features is at your own risk.


18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any Order Forms or written agreements, constitute the entire agreement between you and Dossier regarding the Services and supersede all prior agreements, understandings, and representations.

18.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

18.3 Waiver
Dossier's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

18.4 Assignment
You may not assign your rights or obligations under these Terms without Dossier's prior written consent. Dossier may assign these Terms without restriction in connection with a merger, acquisition, or sale of all or substantially all of its assets.

18.5 Force Majeure
Dossier is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, power outages, internet failures, or acts of third parties.

18.6 Notices
We may provide notices to you via email to the address on your account or by posting on the Services. You may provide notices to Dossier at support@askdossier.ai or at the company address listed on our website.

18.7 Language
These Terms are written in English. If they are translated into any other language, the English version governs in case of conflict.
